1About these Terms

These Terms of Use (“Terms”) govern the use of DrivianTasks, a transport management system (TMS) provided by Sentilant – Consultoria e Inovação, Lda. (“Sentilant”, “we”, “us”), made up of the web platform made available to each Customer at a dedicated subdomain of driviantasks.com (for example, customer.driviantasks.com) and the DrivianTasks mobile application for Android and iOS (together, the “Services”), including the Drivian Telematics features integrated in the Services.

DrivianTasks is a business service. It is subscribed by companies (“Customers”) under a separate service agreement with Sentilant (“Customer Agreement”). These Terms apply to every person who uses the Services on behalf of a Customer, such as managers, dispatchers and drivers (“Users”, “you”).

By signing in to or using the Services, you accept these Terms. If you do not accept them, do not use the Services and inform your company’s DrivianTasks administrator.

How we process personal data is described in the DrivianTasks Privacy Policy, which forms part of these Terms.

2Who we are

3Relationship with the Customer Agreement

The commercial relationship, including prices, service levels, support commitments, data processing terms and the liability of each party, is governed by the Customer Agreement between Sentilant and the Customer. These Terms do not change the Customer Agreement. In case of conflict between these Terms and the Customer Agreement regarding the Customer, the Customer Agreement prevails.

Your use of the Services as an employee, contractor or other representative of a Customer is also subject to the rules, instructions and policies of that Customer. Questions about how your company uses the Services, including working hours, when work mode must be active and how driving data is used, must be addressed to your company.

4Accounts and access

  • Account creation: User accounts are created and managed by the Customer. It is not possible to register directly with Sentilant. You may only use the Services with an account that the Customer has assigned to you.
  • Credentials: your credentials are personal. Do not share them, do not let others use your account, and inform your company’s administrator immediately if you suspect that your account has been used without authorisation.
  • Accuracy: you must keep the information in your profile accurate and up to date.
  • Control by the Customer: the Customer may change your permissions, suspend or delete your account at any time. Your access also ends when the Customer’s subscription ends.
  • Professional use: the Services are intended for professional use only and not for persons under 16 years of age.

5Licence to use the Services

Subject to these Terms and to the Customer Agreement, Sentilant grants you a personal, non-exclusive, non-transferable, non-sublicensable and revocable right to access the web platform and to install and use the mobile application on devices you control, solely to perform tasks for the Customer for which you work, for as long as the Customer maintains your account active.

No other right is granted. The Services are licensed, not sold.

6Work mode, location and data collection

The mobile application has a work mode. While work mode is active, the application collects location (including in the background, when the screen is off or the app is closed), motion sensor data, and the photos, signatures, proof-of-delivery records and other content you submit, according to the features activated by the Customer. When you turn off work mode, the application stops collecting location and sensor data.

You control when work mode is on or off in the application. The Customer may set rules about when work mode must be active, for example during working hours. Those rules are a matter between you and the Customer, under the applicable employment law, and Sentilant does not decide them.

Refusing device permissions (location, motion, camera, notifications) may prevent the corresponding features from working. Details are set out in the Privacy Policy.

7Acceptable use

When using the Services you must not:

  • Use the mobile application while driving in breach of road traffic law. Interact with the application only when the vehicle is safely stopped, or in a way permitted by law (e.g. hands-free). Your safety and compliance with the Código da Estrada and other traffic rules always take priority over any task shown in the Services.
  • Falsify, simulate or manipulate location, sensor, time or other data, including by using GPS spoofing apps, emulators or modified devices.
  • Submit false, misleading or unlawful content, including signatures or proof-of-delivery records that were not actually obtained from the person concerned.
  • Access data, accounts or functions that you are not authorised to access, or attempt to bypass authentication, permissions or other security measures.
  • Reverse engineer, decompile, disassemble or modify the Services, except to the extent expressly permitted by mandatory law.
  • Interfere with the operation of the Services, introduce malware, or carry out automated access, load testing or vulnerability scanning without Sentilant’s prior written authorisation.
  • Copy, resell, sublicense or make the Services available to third parties outside the Customer’s operation.
  • Use the Services in breach of applicable law, including data protection law, or of the rights of third parties.

If you find a security vulnerability, please report it to support@driviantasks.com and do not exploit it.

8Content and data

  • Customer Data: data entered into or generated through the Services on behalf of a Customer, including tasks, routes, location, photos, signatures, proof-of-delivery records and documents (“Customer Data”), belongs to or is controlled by the Customer. Sentilant processes it on the Customer’s behalf, as described in the Privacy Policy and in the Customer Agreement.
  • Your responsibility: you are responsible for the accuracy of the content you submit and for submitting only content that you are authorised to submit. When you collect a signature or take photos of persons or premises, you do so on behalf of the Customer and in accordance with its instructions.
  • Licence to Sentilant: you authorise Sentilant to host, process, transmit and display the content you submit only as needed to provide, support and secure the Services.
  • Feedback: if you send us suggestions or feedback about the Services, we may use them freely without obligation to you.

9Automated features and artificial intelligence

  • Driving scores and risk estimates are calculated automatically from sensor and location data, which may be affected by device position, sensor quality, GPS signal and other factors. They are decision-support indicators for the Customer, not findings of fact. Sentilant does not take decisions about Users based on them.
  • Automatic data extraction, such as reading invoice data with an AI service, may contain errors. You must review and confirm the extracted data before saving it.
  • Routes, maps and estimated times are provided by third-party map services and are indicative. Always follow road signs, traffic conditions, vehicle restrictions and the law.

10Availability, updates and support

We work to keep the Services available and secure, but we do not guarantee that they will be uninterrupted or free of errors. The Services depend on factors outside our control, including mobile networks, GPS signal, the operating system and settings of your device, and third-party services. Some features work offline and synchronise when a connection is available; data captured offline may be lost if the application is uninstalled or the device fails before synchronisation.

We may update, change or discontinue features of the Services. Some updates of the mobile application may be required to continue using it. Planned maintenance is communicated to Customers whenever possible. Service levels and support commitments, if any, are those set out in the Customer Agreement.

Support requests from Users should first be addressed to the Customer’s administrator, who may contact Sentilant support at support@driviantasks.com.

11Third-party services and app stores

The Services use or integrate third-party services, such as map and routing providers, push notification services and integrations activated by the Customer (e.g. ERP, GPS or tachograph providers). Their use may be subject to the terms of those third parties, and Sentilant is not responsible for their availability or content.

The mobile application is distributed through Google Play and the Apple App Store. Your use of the application must also comply with the terms of the store from which you obtained it.

12Intellectual property

The Services, including the software, the mobile application, designs, texts, logos and the DrivianTasks, Drivian Telematics and Sentilant names and trademarks, are owned by Sentilant or its licensors and are protected by intellectual property law. These Terms do not transfer any intellectual property right to you, except for the limited licence in section 5.

13Suspension and termination

Sentilant may suspend or restrict your access, where possible after informing the Customer, if you breach these Terms, if your account is used in a way that puts at risk the security or integrity of the Services or the data of other Customers, or if required by law or by a competent authority.

Your right to use the Services ends automatically when the Customer deletes your account or when the Customer’s subscription ends. Retention and deletion of data after that are described in the Privacy Policy.

Sections 8, 12, 14 and 16 survive termination.

14Liability

The Services are provided to the Customer under the Customer Agreement, which governs Sentilant’s obligations and liability towards the Customer. You use the Services on behalf of the Customer and not as a consumer.

To the extent permitted by applicable law, Sentilant is not liable towards Users for: (a) decisions taken by the Customer, including decisions based on location data, driving scores or other information provided by the Services; (b) the accuracy of content submitted by Users or of data obtained from third-party services; (c) losses caused by use of the Services in breach of these Terms or of the law, including use while driving; and (d) interruptions caused by factors outside Sentilant’s reasonable control.

Nothing in these Terms limits or excludes liability for death or personal injury caused by negligence, for wilful misconduct or gross negligence, or any other liability that cannot be limited or excluded under applicable law, nor any rights you have under mandatory law.

15Changes to these Terms

We may update these Terms to reflect changes to the Services or to applicable law. The current version is always available at https://www.driviantasks.com/tms-terms-of-use.html. Material changes will be communicated to Customers, and may be shown to Users in the Services, at least 30 days before they take effect, except where a change is required by law or necessary for security reasons. If you continue using the Services after a change takes effect, the updated Terms apply.

16Governing law and jurisdiction

These Terms are governed by Portuguese law. The courts of the judicial district of Coimbra have jurisdiction over any dispute arising from these Terms, without prejudice to mandatory rules on jurisdiction that may apply.

17General provisions

  • Severability: if any provision of these Terms is found invalid or unenforceable, the remaining provisions remain in effect.
  • No waiver: failure to enforce a provision does not mean that Sentilant waives it.
  • Assignment: you may not transfer your rights under these Terms. Sentilant may transfer them in the context of a merger, acquisition or sale of assets.
  • Language: these Terms are drafted in English. Where a translation is made available, the English version prevails in case of discrepancy, to the extent permitted by law.
